Ms. Poonam Talwar (DIN: 00043300) was appointed as a Non-Independent Non-Executive Director on the Board of Nitco Limited on October 19, 2022. She is a member of the Promoter Group of the Company and actively serves as a member of the Nomination & Remuneration Committee and the Stakeholders Relationship Committee.

Ms. Talwar, aged approximately 61 years, holds a Bachelor’s degree in Commerce, a LLB, and a Diploma in Fashion Designing. She has been an integral part of the family business since 1999, where she has demonstrated exemplary leadership and business acumen.

She played a pivotal role in reviving a sick unit specializing in Mosaic Tile manufacturing, transforming it into a profitable enterprise. She established two additional factories in Mumbai, focusing on the production of Mosaic Tiles, Chequered Tiles, and Interlocking Pavers. Her strategic oversight extended to the operations of these products in Bangalore and Hyderabad, where she independently managed production and business activities.

In addition to her contributions to the family business, Ms. Talwar ventured into the construction sector, initiating projects focused on the construction and leasing of industrial sheds in Hyderabad and Bangalore, as well as leading an independent construction project in New Delhi.

Ms. Talwar has also been actively involved with Nitco Limited in the past, overseeing client sales, administrative functions, and strategic initiatives aimed at cost control and operational efficiency.

He is a Change management architect for various MNCs, large Indian corporates and family run businesses management strategy and deployment, Assessor for Assessment and Development Centre, Executive Search professional, Leadership development consultant MBA, PCC ICF USA, Ph.D. in Human Resources and Change Management.

Mr. Harsh Kedia (DIN: 09784141) has been serving as an Independent Non-Executive Director on the Board of Nitco Limited since November 11, 2022. He currently serves as the Chairman of the Audit Committee.

With over 14 years of extensive experience in finance, taxation, and advisory services, Mr. Kedia is an accomplished Chartered Accountant and a distinguished member of the Institute of Chartered Accountants of India (ICAI). His academic qualifications include CPA (USA), MBA (India), DISA (ICAI), as well as M.Com and B.Com degrees in commerce. His professional expertise spans a wide array of disciplines, including International Taxation, Income Tax, Tax Assessments, Tax Restructuring, Cross-Border Taxation, Transfer Pricing, and Tax Advisory.

Mr. Kedia’s career has involved extensive roles within multinational corporations across various regions, including South Asia, the Middle East, North America, and Africa, where he has played a key role in shaping corporate finance and tax strategies. He has a strong foothold in markets such as India, Bangladesh, Sri Lanka, and Pakistan, where he has provided expert guidance on navigating local tax systems and cross-border tax issues. In the Middle East, including markets such as the UAE, Saudi Arabia (KSA), Oman, Bahrain, Qatar, Jordan, Iran, and Iraq, his work has helped organizations adapt to rapidly evolving tax laws and optimize international tax structures. Additionally, in North America, particularly in the USA and Canada, Mr. Kedia has worked extensively on US taxation, tax planning, and structuring tax-efficient strategies for global businesses. His experience also extends to Africa, where he has assisted multinational companies in managing complex tax landscapes and ensuring compliance with local regulations.

Throughout his career, Mr. Kedia has earned recognition for his contributions to the field, including the honor of meeting former Presidents of India, Dr. A. P. J. Abdul Kalam and Smt. Pratibha Devisingh Patil. Mr. Santhosh Kumar Shet (DIN: 09784476) joined the Board of Nitco Limited as an Independent Non-Executive Director on November 11, 2022. He currently serves as the Chairman of the Stakeholders Relationship Committee and is a member of the Nomination & Remuneration Committee.

Mr. Shet, aged approximately 57 years, holds a Bachelor’s degree in Chemical Engineering from N.I.T.K./K.R.E.C. (1988) and a Postgraduate Diploma in Management (Systems & Marketing) from T. A. Pai Management Institute (1992), both earned with First Class distinction. As a ESG Professional, he is a Member of the National Association of Impact Leaders (NAIL) set up by Indian Institute of Corporate Affairs. A Chartered Engineer and Fellow of The Institution of Engineers (India), Member of All India Management Association and is registered as an empanelled Independent Director in the Ministry of Corporate Affairs, Government of India.

With over 34 years of extensive professional experience in India and abroad, Mr. Shet has demonstrated expertise across diverse domains, including Start ups, Production, Projects, Business Development, Sales, Technical Services, Statutory Liaison, and Procurement. He is a certified Radiation Safety Professional registered with the Atomic Energy Regulatory Board (AERB) and actively contributes to the All India Management Association,The Institution of Engineers (India) and NAIL.

As a strategic planner and keen strategist, Mr. Shet excels in projects and business operations management, focusing on debottlenecking and optimizing Return on Investment (ROI). His entrepreneurial acumen includes setting up MSME units and Start up Projects in Manufacturing sector.

Ms. Priyanka Agarwal (DIN: 08089006) has been appointed as an Independent Non-Executive Director on the Board of Nitco Limited effective from November 11, 2022. She also serves as a member of the Audit Committee of the Company.

Ms. Agarwal is a Fellow Member of the Institute of Company Secretaries of India, a Registered Valuer (Securities & Financial Assets), and holds a Bachelor of Commerce (B.Com, ABST Hons.).

With over 15 years of extensive experience, Ms. Agarwal has developed a strong expertise in Corporate Laws, FEMA compliance, Legal Due Diligence, Corporate Restructuring, Intellectual Property Rights (IPR), Stock Audits, and Contractual Drafting. Her core competencies include Company Law, Corporate Restructuring, IPR matters, Share & Securities Valuation, FEMA and SEBI compliances, Initial Public Offerings (IPOs), Secretarial Audits and Due Diligence.

Ms. Agarwal has consistently demonstrated her strategic acumen by representing clients before regulatory authorities such as the Registrar of Companies (ROC) and Regional Director. She also provides expert consultancy to a wide range of start-ups, advising on critical aspects such as capital structuring, Employee Stock Option Plans (ESOPs), valuation, foreign funding and shareholder agreements.

In addition to her role at Nitco Limited, Ms. Agarwal holds directorships in several companies, including Marvel Limited, Future Retail Limited, Divyadhan Recycling Industries Limited, and Reliance Communications Limited.
